1. Acceptance of Terms

By accessing or using ExpertCall ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. ExpertCall reserves the right to update these Terms at any time, and continued use of the Platform constitutes acceptance of any changes.

2. Description of Service

ExpertCall is an online marketplace that connects users ("Clients") with independent professionals ("Experts") for real-time video consultations. The Platform provides video calling infrastructure, scheduling tools, payment processing, screen sharing, session recording, and communication features. ExpertCall acts solely as an intermediary and does not itself provide any professional advice, legal counsel, medical guidance, IT support, or other expert services.

3. User Accounts

You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration. ExpertCall reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Expert Responsibilities

Experts are independent contractors, not employees of ExpertCall. Experts are solely responsible for the accuracy, quality, and legality of the advice and services they provide. Experts must maintain all necessary licenses, certifications, and professional qualifications required in their jurisdiction. Experts set their own rates, availability, and service terms. ExpertCall does not verify, endorse, or guarantee the qualifications or advice of any Expert.

5. Client Responsibilities

Clients acknowledge that consultations provided through ExpertCall are for informational and guidance purposes only. Consultations do not establish any formal professional-client relationship (such as attorney-client, doctor-patient, or similar privileged relationships) unless explicitly agreed upon in writing by both parties outside of the Platform. Clients are responsible for making their own decisions based on the information received.

6. Payments and Billing

Sessions are billed on a per-minute basis at the rate displayed on the Expert's profile at the time of booking. A pre-authorization hold is placed on the Client's payment method before the session begins. The final charge is calculated based on actual session duration minus any free introductory minutes offered by the Expert. Payments are processed through Stripe. ExpertCall retains a platform fee from each transaction. Refunds and disputes are handled in accordance with our Dispute Resolution process.

7. Session Recording and Screen Sharing

Sessions may be recorded with the consent of all participants. By using the recording feature, all participants acknowledge and consent to the recording. Recordings are stored securely and are accessible only to session participants. Screen sharing is available during sessions to facilitate guidance and troubleshooting. Users are responsible for ensuring that no sensitive or confidential information is inadvertently shared during screen sharing sessions.

8. Prohibited Conduct

Users may not: (a) use the Platform for any unlawful purpose; (b) harass, abuse, or threaten other users; (c) impersonate any person or entity; (d) share account credentials with third parties; (e) attempt to circumvent the Platform's payment system; (f) upload malicious software or content; (g) scrape, data mine, or use automated tools to access the Platform; or (h) engage in any activity that disrupts or interferes with the Platform's operation.

9. Intellectual Property

All content, trademarks, and technology on the Platform are owned by ExpertCall or its licensors. Users retain ownership of content they create or share during sessions. By using the Platform, you grant ExpertCall a limited license to use your content solely for the purpose of providing and improving the service.

10. Limitation of Liability

ExpertCall is provided "as is" without warranties of any kind, express or implied. ExpertCall shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. ExpertCall is not responsible for the advice, actions, or omissions of Experts. Our total liability shall not exceed the amount you paid to ExpertCall in the twelve months preceding the claim.

11. Dispute Resolution

If you have a dispute regarding a session, you may file a dispute through the Platform within 7 days of the session's completion. ExpertCall will review disputes and may issue partial or full refunds at its discretion. For disputes not resolved through the Platform, you agree to attempt mediation before pursuing any legal action. These Terms are governed by the laws of the State of California, United States.

12. Termination

ExpertCall may suspend or terminate your account at any time for violation of these Terms or for any other reason at its sole discretion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including payment obligations, limitation of liability, and dispute resolution) shall survive.
